Regarding the issues of Afterjourney+Boom Huang US tour 2018, we are here by to certify the following:
Neo Soul Entertainment Inc. entered the contractual relationship with Yijinhuoluoqi Jieni Office of Cultural communications in March 2018 based on the contract AfterJourney+Boom Huang US tour 2018 Agreement on Cooperation(herein after referred as the tour agreement.) Any conflicts or issues occurred should be resolved between Neo Soul Entertainment Inc. and Yijinhuoluoqi Jieni Office of Cultural communications, Neo Soul Entertainment has never authorized any members of the company or third parties to handle it on our behalf.
Xiangrui Kong is neither a controlling board member of Neo Soul Entertainment nor an authorized representative to sign any legal document according to the tour agreement. He is not authorized to deal in anyway on behalf of Neo Soul Entertainment regarding any conflicts or obligations occurred in the tour agreement as well as signing any legal documents.
Xiangrui Kong is not authorized to make any kind of confirmation on the total amount of show fee in the tour agreement which is currently in dispute, therefore the debt agreement between Xiangrui Kong and Xu Huang has severely damaged the interest of Neo Soul Entertainment Inc. As a matter of fact, many breaches of the tour agreement by Yijinhuoluoqi Jieni Office of Cultural communications had occurred during the tour, Neo Soul Entertainment has never given up our right to pursue legal actions against Yijinhuoluoqi Jieni Office of Cultural communications and its artists regarding the breaches of the contract. Any conflicts or disputes including the amount of the show fee, should be resolved between Neo Soul Entertainment and Yijinhuoluoqi Jieni Office of Cultural communications as agreed in the tour agreement.
According to clause 38 in the tour agreement, Without Neo Soul Entertainment’s written consent, neither Yijinhuoluoqi Jieni Office of Cultural communications nor its personnel may transfer or authorize to any third party its rights and obligations under this Agreement. Without any sort of confirmation or consent from Neo Soul Entertainment, Yijinhuoluoqi Jieni Office of Cultural communications has no right to transfer its right to collect show fee to Xu Huang or any third party. The authorization letter by Yijinhuoluoqi Jieni Office of Cultural communications on May 12th 2018 is in violation to clause 38 of the tour agreement, therefore it is not legally binding.
Regarding the dispute amount of the show fee, Xu Huang is not authorized to handle on behalf Yijinhuoluoqi Jieni Office of Cultural communications and Xiangrui Kong is not authorized to confirm on behalf of Neo Soul Entertainment. Therefore, the debt agreement between Xu Huang and Xiangrui Kong is not legally binding. Yijinhuoluoqi Jieni Office of Cultural communications is well aware of this fact. And as a result it had asked Neo Soul Entertainment to sign a three party supplementary agreement giving consent of them transferring the right to collect to Xu Huang and the obligation to pay from Neo Soul Entertainment to Xiangrui Kong. Neo Soul Entertainment had rejected their request and refused to sign such agreement. In addition, Neo Soul Entertainment strongly stressed that any conflicts or disputes should be resolved between Neo Soul Entertainment and Yijinhuoluoqi Jieni Office of Cultural communications .
Up until now, Neo Soul Entertainment has never agree Yijinhuoluoqi Jieni Office of Cultural communications to transfer any of its rights or obligations to any third parties. Regarding the action of Yijinhuoluoqi Jieni Office of Cultural communications transferring its right to collect show fee, Neo Soul Entertainment neither had agreed nor will agree in the future. In the meanwhile, Neo Soul Entertainment reserve its right to take any legal actions against Yijinhuoluoqi Jieni Office of Cultural communications regarding their breaches of contract.
